Iteradian Terms of Service

Version 2026-10-07 · Effective 22 October 2026

These Terms of Service (the "Terms") are a binding agreement between CommRaDian, a business registered in Israel, of Caesarea, Israel, which owns and operates the Iteradian service and brand ("Iteradian", "we", "us"), and the person or entity that creates an account or uses the Service ("Customer", "you"). Invoices and charges for the Service are issued by CommRaDian.

By creating an account, ticking the acceptance box, clicking "Create account", signing in with a third-party provider, or using the Service, you accept these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it, and "you" means that organization. If you do not agree, do not use the Service.

These Terms incorporate the Acceptable Use rules in Section 5, the Privacy Policy at https://iteradian.com/privacy, the Refund and Cancellation Policy at https://iteradian.com/refunds, and any order form or plan description you accept (together, the "Agreement"). If an order form signed by both parties conflicts with these Terms, the order form wins for that order only.

1. Definitions

TermMeaning
ServiceIteradian's blockchain RPC gateway, endpoints, WebSocket subscriptions, dashboard, APIs, SDKs, MCP server, agent platform, Assistants, Copilot, documentation and any related software or support.
AccountThe user account and any organization you create or join in the Service.
Authorized UserAny person you allow to access your Account, including members, invitees and anyone using your credentials.
CredentialsPasswords, API keys, agent tokens, OAuth grants, webhook secrets and any other means of authenticating to the Service.
Customer DataData you submit to the Service, excluding Usage Data and public blockchain data.
Usage DataData the Service generates about your use: request counts, methods, latency, errors, IP addresses, logs and metrics.
Third-Party NetworksPublic blockchains and the nodes, validators, clients and protocols that run them. Iteradian does not control them.
AI FeaturesThe MCP server, agent tokens, Assistants, Copilot, provider plugins and any feature that uses a large language model or acts on your instructions.
PlanThe subscription tier you select, with its price, limits and features as shown in the dashboard at the time of purchase.
FeesAll amounts payable for the Service, including subscription fees, overage and taxes.

2. Accounts and Authorized Users

  1. Eligibility. You must be at least 18 and able to form a binding contract. The Service is for business and developer use, not for consumers acting outside a trade or profession.
  2. Accurate information. You must give accurate, current registration and billing details and keep them up to date. We may verify your identity or business and refuse or close Accounts at our discretion.
  3. Responsibility for your Account. You are responsible for every action taken through your Account or Credentials, whether or not you authorized it, until you tell us of a compromise at [email protected] and we have had a reasonable time to act.
  4. Authorized Users. You are responsible for your Authorized Users' compliance with this Agreement. Roles and permissions you assign in the dashboard are your choice; we are not liable for actions of users you invited or empowered.
  5. One Account per need. You may not create multiple free Accounts or organizations to avoid Plan limits, quotas or Fees.

3. The Service, Plans and limits

  1. Right to use. Subject to this Agreement and payment of Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Service during your subscription for your internal business purposes and to build products for your own end users.
  2. Plan limits. Each Plan sets limits such as requests per second, concurrent connections, monthly requests, API keys and overage caps. We enforce them technically. Requests above a limit may be delayed, throttled, refused or billed as overage, as your Plan states.
  3. Supported networks and methods. We decide which networks, regions and RPC methods the Service supports, and may add, restrict or remove any of them at any time. Methods that are unsafe, expensive or administrative (for example debug, admin or trace methods) may be refused.
  4. Fair use. Even within Plan limits, we may throttle or restrict traffic that degrades the Service for others, is automated in an abusive way, or looks like an attack.
  5. Changes to the Service. We may change, add or remove features at any time. Where a change materially reduces a paid feature you rely on, we will give reasonable notice where practical.
  6. Free and beta features. Free Plans, trials, previews and anything labelled beta, preview or experimental are provided as is, may change or end at any time without notice, and carry no support or liability obligations.
  7. Reselling. You may not resell, rent or provide the Service itself (for example raw RPC access) to third parties as a standalone service without our written consent.

4. Fees, billing and taxes

  1. Subscription Fees. Paid Plans are billed in advance in US dollars, either monthly or, where we offer it for the Plan, annually (one payment for twelve months at the annual price shown when you buy). The billing period is the month or the year you paid for. By subscribing, you authorize recurring charges to your payment method at the same interval until you cancel. You can cancel at any time (Section 13.2). On annual billing the Plan's request allowance and overage cap still apply per month: the allowance resets at the start of each month of the billing year, counted from its start date. Payments are taken in one of two ways, shown at checkout and on your invoices:
    • Through Stripe, our payment processor: CommRaDian sells the Plan to you and issues the invoices.
    • Through Paddle: Paddle.com Market Limited (and its affiliates, "Paddle") is our authorised reseller and merchant of record. Paddle sells the Plan to you, collects payment, charges any sales tax or VAT, and issues the invoices; your purchase from Paddle is also governed by Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Your use of the Service remains governed by these Terms, and support, plans and refunds under Section 4.4 are handled by us. Where these Terms refer to charges, payments, invoices or refunds, they include those made by Paddle on our behalf.

    A subscription stays with the provider it was bought through until it ends.

  2. Overage. If your Plan includes overage, requests above the included allowance are billed in arrears at the Plan's rate, up to the Plan's overage cap for each allowance period: the billing period on monthly billing, and each month of the billing year on annual billing, billed at the end of that month. Our metering records are final and binding, absent manifest error.
  3. Plan changes. A change between paid Plans takes effect once the payment provider confirms it and is prorated for the rest of the billing period: an upgrade's difference is charged at once; on a downgrade the unused part of the higher price is credited to your account and applied to future invoices (it is not paid out). Moving from monthly to annual billing starts a new billing year on the day of the change: the annual price is charged at once, less a credit for the unused part of the current month. Annual billing changes to monthly only at the end of the billing year (by cancelling and choosing a monthly Plan, or by asking us). Moving to the free Plan is done by cancelling, which takes effect at the end of the paid period (Section 13.2).
  4. Refunds. Refunds are governed by our Refund and Cancellation Policy at https://iteradian.com/refunds. In summary:
    • Introductory refund. We refund your first paid subscription purchase in full, monthly or annual, if you request it within 14 days of the payment and have used less than 10% of the requests included in the first month of the period you bought. It is available once per customer (organization, account, email and payment card), and not for renewals, overage, add-ons, or Dedicated and other custom contracts, which follow their order form. An approved introductory refund ends the refunded subscription at once and moves your organization to the free Plan; your data is kept and the free Plan's limits apply from then on.
    • Billing errors and Service failures. Duplicate charges and verified failures of the Service are reviewed case by case and refunded or credited, in full or in part, where we confirm them.
    • Otherwise, no refunds. Apart from the above and Section 13.4, Fees are non-refundable, including for partial periods, unused time or requests, downgrades, and suspension or termination for breach. We do not give prorated refunds.
    • Your statutory rights. Nothing in these Terms or the Refund and Cancellation Policy limits a refund or cancellation right that the law applicable to you gives and that cannot be excluded by contract.
  5. Changes to pricing and Plans. We may change our prices, Plans, Plan limits, included features and overage rates from time to time, and may introduce new Plans or retire existing ones. We will give you proper notice by email to the account owner and in the dashboard: at least 30 days before a price increase or a reduction of your Plan's limits or features takes effect, and as soon as practicable for changes that do not disadvantage you. The change applies from your first billing period that starts after the notice period ends. If a Plan you are on is retired, we will move you to the closest available Plan at the end of the notice period unless you choose another. If you do not agree to a change, you may cancel before it takes effect; continuing to use the Service after that date means you accept it.
  6. Late or failed payment. If a payment fails, we may retry it, suspend or downgrade the Service, and charge interest on overdue amounts at 1.5% per month or the maximum legal rate, whichever is lower, plus reasonable collection costs.
  7. Taxes. Fees exclude taxes. You pay all sales, use, VAT, GST, withholding and similar taxes, except taxes on our net income. If withholding applies, you gross up the payment so we receive the full amount. When Paddle is the merchant of record, Paddle calculates, charges and remits the applicable tax based on the billing address and tax details you give at checkout, and shows it on its invoice.
  8. Disputes. You must raise any billing dispute in writing within 30 days of the charge, or you waive it. Chargebacks without first contacting us are a material breach. For payments taken by Paddle you may also contact Paddle; we work with Paddle to resolve it.

5. Acceptable use

You must not, and must not let anyone else:

  • use the Service for anything unlawful, fraudulent, or to facilitate money laundering, terrorist financing, sanctions evasion, theft of digital assets, scams, market manipulation or ransomware;
  • probe, scan, attack or test the vulnerability of the Service or our infrastructure without our written permission, or bypass authentication, rate limits, quotas, method restrictions or other controls;
  • send traffic designed to overload the Service or the networks behind it, including denial-of-service, malformed or deliberately expensive requests;
  • share, publish or embed Credentials in public code or client-side apps in a way that exposes them, or let third parties use your Credentials;
  • reverse engineer, decompile or copy the Service, except to the extent the law expressly allows despite this restriction;
  • use the Service to build a competing RPC or node service, or benchmark it for publication without our written consent;
  • interfere with other customers' use, or access data that is not yours;
  • use AI Features to generate unlawful content, attempt to manipulate them into bypassing controls (prompt injection), or automate actions you are not authorized to take.

We may investigate suspected violations, cooperate with law enforcement, and act under Section 13 without prior notice.

6. Your responsibilities and security

  1. Keep Credentials secret. API keys, agent tokens, webhook secrets and passwords are shown once and are your responsibility. Use the restrictions the Service offers (allowed networks, IPs, origins, expiry, scopes) and rotate Credentials regularly.
  2. Charges from your Credentials. All traffic and Fees incurred through your Credentials are yours, including traffic after a leak, until you revoke them in the dashboard (or, if you cannot, until you notify us under Section 2.3 and we have had a reasonable time to act). We have no duty to refund usage caused by compromised Credentials.
  3. Your applications. You are solely responsible for your applications, smart contracts, wallets, keys, transactions and end users, and for how you use data returned by the Service.
  4. Backups. You are responsible for keeping your own copies of anything you need. The Service is not a backup or archival service.
  5. Security incidents. Tell us promptly at [email protected] if you suspect unauthorized access to your Account or Credentials.
  6. Two-factor authentication. We strongly recommend 2FA for owners and admins. Account losses that 2FA would have prevented are your responsibility.

7. Blockchain-specific terms

  1. Infrastructure only. Iteradian relays requests to Third-Party Networks. We are not a wallet, exchange, custodian, broker, money transmitter or financial adviser. We never hold your private keys or digital assets.
  2. Your transactions are yours. You alone create, sign and submit transactions. Once broadcast, a transaction is irreversible and outside our control. We are not liable for any transaction, including failed, delayed, dropped, front-run, mis-ordered, reverted, duplicated or mistakenly sent transactions, or for gas or fees spent.
  3. No guarantee of data accuracy. Data comes from Third-Party Networks and may be stale, incomplete, inconsistent between nodes, or wrong. Chain reorganizations, forks, finality delays, network upgrades and client bugs can change or invalidate data. Verify anything that matters, especially before moving value.
  4. Third-Party Networks. We do not control, and are not responsible for, any blockchain, its consensus, validators, protocol changes, outages, attacks, forks or governance, or for any decision to support or not support a fork.
  5. Digital asset risk. Digital assets are volatile and high-risk. Nothing in the Service is investment, legal or tax advice. You bear all risk of loss.
  6. Regulatory status. You are responsible for any licences, registrations or approvals your use or your product requires.

8. AI Features, agents and automation

  1. You control and own the outcome. AI Features act on your instructions or with permissions you grant (agent tokens, OAuth connections, trusted actions, autopilot). Every action taken through them is your action, and you are responsible for it, including actions you approved or allowed to run without approval.
  2. Outputs may be wrong. Insights, findings, recommendations, reports, briefs and Copilot answers are generated automatically and may be inaccurate, incomplete or out of date. They are not professional advice. Review them before you rely on or apply them.
  3. Approvals. Approval features are a convenience, not a guarantee. We are not liable for an action approved, applied or auto-run by you or your Authorized Users, or for an action an agent takes within the permissions you granted.
  4. Third-party AI providers. Some AI Features send prompts, context and tool results to third-party model providers (for example Anthropic, OpenAI, Google or xAI) or to AI apps you connect (for example ChatGPT, Claude, Gemini or Grok). Their terms and data practices apply to them. We are not responsible for their availability, outputs or conduct.
  5. Connected AI apps. When you connect an external AI app or agent, you authorize it to act with the access you grant until you revoke it. Revoke access you no longer need.
  6. Limits. AI Features may be rate-limited, budget-capped, unavailable or turned off at any time.

9. Data and privacy

  1. Your Customer Data. You keep your rights in Customer Data. You grant us a worldwide, royalty-free licence to host, process, transmit and display it as needed to provide, secure and improve the Service and to comply with law.
  2. Usage Data and logs. We collect Usage Data, including request metadata and IP addresses, to operate, meter, bill, secure and improve the Service. We retain it for the periods in our Privacy Policy.
  3. Your obligations. You confirm you have every right and consent needed to send us Customer Data. Do not send special-category personal data, payment card data or private keys through the Service.
  4. Personal data. Our Privacy Policy explains how we process personal data. Where we process personal data on your behalf and the law requires it, our Data Processing Addendum at https://iteradian.com/dpa applies.
  5. Subprocessors. We use the subprocessors in the table below. We may add or replace subprocessors and will update this list, giving notice of material changes.
  6. Disclosure. We may disclose data where required by law, court order or a valid government request, or to protect the Service, our users or our rights.

10. Intellectual property

  1. Ours. Iteradian and its licensors own the Service, including all software, models, prompts, designs, documentation, trademarks and improvements, and all related intellectual property. You get only the rights expressly granted in Section 3.1.
  2. SDKs and open-source. SDKs and plugins we publish are licensed under the licence that ships with them. Open-source components are governed by their own licences.
  3. Feedback. If you send suggestions or feedback, we may use them freely and forever, without payment or attribution.
  4. Aggregated data. We may create and use aggregated or de-identified data derived from the Service (for example network performance statistics) for any lawful purpose, provided it does not identify you.
  5. Brand. You may not use our names or logos without our written consent. We may name you as a customer and use your logo in customer lists unless you opt out by email.

11. Confidentiality

Each party will protect the other's non-public business and technical information with reasonable care and use it only to perform this Agreement. This does not cover information that is public, already known, independently developed, or lawfully received from someone else. A party may disclose information when the law requires it, with prompt notice where lawful. Non-public details of the Service, its pricing terms, security measures and anything we mark confidential are our confidential information.

12. Availability and support

  1. No uptime commitment. We aim for high availability but do not guarantee the Service will be uninterrupted, timely, secure or error-free. Status pages, health indicators and published metrics are informational only.
  2. SLA only by contract. Service levels, uptime targets and service credits apply only if set out in a signed order form (for example a Dedicated Plan). Service credits are then your sole and exclusive remedy for any failure to meet them.
  3. Maintenance. We may perform scheduled and emergency maintenance, which may interrupt the Service. We will try to give notice of scheduled maintenance that we expect to cause significant downtime.
  4. Support. Support is provided through the channels and at the level of your Plan. Response times are targets, not guarantees.

13. Suspension and termination

  1. Suspension. We may suspend or restrict all or part of the Service, immediately and without liability, if: you breach this Agreement or fail to pay; your use threatens the security, stability or legal standing of the Service, us or others; we suspect fraud, abuse or compromised Credentials; or the law or a regulator requires it. We will restore access once the cause is resolved, if we choose to continue serving you.
  2. Your cancellation. You may cancel a paid Plan at any time in the dashboard, with no notice period. Cancelling stops automatic renewal: your paid access and Plan limits continue until the end of the period you have paid for, and then your organization moves to the free Plan (or the subscription ends where no free Plan is offered). Your data is kept. You can withdraw a cancellation until the period ends. Cancelling does not cancel Fees already incurred, including overage for the current allowance period, which is billed after that period ends. On annual billing, cancelling does not refund the remaining months of the billing year. Cancelling does not by itself give a refund; refunds follow Section 4.4.
  3. Our termination. We may terminate this Agreement or your Account: for convenience with 30 days' notice; or immediately if you materially breach it, breach Section 5 or Section 17, fail to pay, become insolvent, or if continuing would expose us to legal or regulatory risk.
  4. Effect. On termination your right to use the Service ends, all unpaid Fees become due immediately, and we may delete Customer Data 30 days later. If we terminate for convenience, we refund prepaid Fees for the unused period; otherwise refunds are only those Section 4.4 provides.
  5. Survival. Sections on Fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law and anything meant to survive will survive termination.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ALL DATA RETURNED BY IT AND ALL AI FEATURE OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. ITERADIAN AND ITS AFFILIATES, SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT DATA FROM THIRD-PARTY NETWORKS WILL BE ACCURATE, COMPLETE OR CURRENT. Some jurisdictions do not allow certain disclaimers; in those, the disclaimers apply to the fullest extent allowed.

15. Limitation of liability

  1. No indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ITERADIAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, DIGITAL ASSETS OR TOKENS, OR COSTS OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY.
  2. Cap. ITERADIAN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US $100.
  3. Scope. These limits apply to every theory of liability, including contract, tort (including negligence), strict liability and statute, and even if a remedy fails of its essential purpose.
  4. Exceptions. Nothing limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.
  5. Time limit. Any claim against Iteradian must be brought within one year after it arises, or it is permanently barred.
  6. Basis of the bargain. You agree these limits are a fundamental part of the bargain and reflected in our prices.

16. Your indemnity

You will defend, indemnify and hold harmless Iteradian, its affiliates and their officers, directors, employees and agents from and against all claims, losses, damages, fines, penalties, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • your or your Authorized Users' use of the Service, or breach of this Agreement;
  • your applications, smart contracts, transactions, end users or Customer Data;
  • actions taken through your Credentials, agent tokens, connected AI apps or autopilot;
  • your violation of any law or third-party right, including sanctions and anti-money-laundering laws.

We will notify you of a claim and may participate with counsel of our choice. You may not settle a claim that imposes any obligation or admission on us without our written consent.

17. Sanctions, export control and legal compliance

  1. You confirm that neither you nor any owner, Authorized User or end user you serve through the Service is on a sanctions list (including those of Israel, the UN, US OFAC, the EU and the UK), or located, organized or ordinarily resident in a comprehensively sanctioned country or region.
  2. You will not use the Service to deal with sanctioned persons, wallets or addresses, or to evade sanctions or export controls.
  3. We may screen Accounts, payments, IP addresses and blockchain addresses, block access from restricted regions, and suspend or terminate Accounts we reasonably believe breach this section, without liability or refund.
  4. You will comply with all laws that apply to your use, including anti-money-laundering, consumer-protection, data-protection and securities laws.

18. Changes to these Terms

We may update these Terms at any time. We will post the new version with its effective date and, for material changes, notify account owners by email or in the dashboard at least 15 days before they take effect. Changes required by law or for security may take effect immediately. If you do not agree, stop using the Service and cancel before the effective date; continuing to use it after that date means you accept the new Terms.

19. Governing law and jurisdiction

  1. Governing law. This Agreement and any dispute arising out of or relating to it or the Service are governed exclusively by the laws of the State of Israel, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
  2. Informal resolution first. Before starting proceedings, you must write to [email protected] and try in good faith to resolve the dispute for 30 days.
  3. Exclusive jurisdiction. The competent courts in Tel Aviv-Jaffo, Israel have sole and exclusive jurisdiction over any dispute, and both parties irrevocably submit to them and waive any objection to venue or forum.
  4. Individual claims only. To the maximum extent permitted by law, claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding.
  5. Exceptions. Iteradian may seek injunctive or other urgent relief, collect unpaid Fees, or protect its intellectual property in any court of competent jurisdiction anywhere.

20. General

  1. Entire agreement. This Agreement is the whole agreement on its subject and replaces all earlier discussions. Your own purchase orders or standard terms have no effect, even if we accept them; only an order form signed by both parties can vary these Terms, as the introduction states.
  2. Assignment. You may not assign or transfer this Agreement without our written consent. We may assign it, without your consent, to a company we incorporate or control to carry on the business, to an affiliate, or to a successor in a merger, acquisition or sale of assets. You will be notified, and the assignee takes over our rights and obligations from that date.
  3. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages or attacks on Third-Party Networks, cloud or network providers, power failures, cyberattacks, government action, war, pandemics and natural disasters.
  4. Independent parties. No partnership, agency, employment or fiduciary relationship is created.
  5. Notices. We send notices to your Account email or in the dashboard. You send notices to [email protected]. Email notices are effective when sent.
  6. Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent needed and the rest stays in force. Failing to enforce a right is not a waiver.
  7. Electronic acceptance. Accepting electronically is as binding as a signature. We keep a record of the version you accepted and when.
  8. Language. The English version controls over any translation.
